How to structure a board meeting agenda
Board agendas fail in a specific and predictable way: the reporting swallows the decisions. Half the meeting goes on being told things that were already circulated in the board pack, and the items that legally or practically need a resolution get five rushed minutes at the end. Split the agenda explicitly into items for noting and items for decision, and give the decision items the larger share of the clock even though they look smaller on paper.
Mark every item with what's expected of the board — note, discuss, or decide — and circulate the papers far enough in advance that directors can arrive having read them. If a report is taken as read, its slot on the agenda can be five minutes of questions rather than fifteen minutes of presentation, and that difference is usually where the room finds the time it was missing.
Board Meeting Agenda Template: what usually goes wrong
- Circulate the board pack at least a week ahead so reports can be taken as read rather than presented in full.
- Label each item note / discuss / decide. It sets expectations before anyone opens their mouth.
- Take declarations of interest before the substantive business, not after — it's much harder to unwind a decision than to record a conflict.
- Have someone other than the chair keep time. A chair who is running the discussion cannot reliably also police it.
