Terms of Service

Please read these Terms of Service (“Terms”) carefully before using asktimer.com (the “Service”). These Terms are a legal agreement between you and asktimer.com (“asktimer”, “we”, “us”, “our”) governing your access to and use of the Service.
By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, please don't use the Service.
1. The Service
asktimer.com provides speaker timer and live audience Q&A tools for events, conferences, presentations, and similar gatherings, including a free plan and a paid subscription plan (“Pro”). We may add, change, or remove features at any time.
2. Accounts
- You must provide accurate information when creating an account and keep it up to date.
- You're responsible for all activity that happens under your account, and for keeping your access to your registered email address secure, since sign-in is passwordless and relies on that email.
- You must be legally capable of entering into a binding contract to create an account. The Service is not directed at children, and account holders must be at least 16 years old.
- We may suspend or terminate accounts that violate these Terms, as described in section 8.
3. Subscriptions, billing, and payment
3.1 Plans
We offer a Free plan and a paid Pro plan. Current pricing and features are shown on our pricing page. We may change our pricing or plan features going forward, but changes won't affect a billing period you've already paid for.
3.2 Billing
- Pro subscriptions are billed on a recurring basis (e.g. monthly) in advance, via our payment processor, Stripe. By subscribing, you authorise us to charge your chosen payment method automatically each billing period until you cancel.
- All fees are exclusive of applicable taxes unless stated otherwise; where required, tax will be added to your invoice.
3.3 No refunds
All payments for Pro subscriptions are final and non-refundable, including for partial billing periods, except where required by law. Because the Service is a digital product delivered immediately upon payment, you acknowledge that you are not entitled to a statutory cooling-off period or refund once a billing period has started, to the fullest extent permitted under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and equivalent consumer protection law, by proceeding with payment you expressly request immediate access to the Service and acknowledge the loss of any cancellation right once that access has been provided.
This does not affect any refund we may choose to offer at our discretion, or your right to a refund where we've failed to provide the Service as described and haven't fixed the problem within a reasonable time.
3.4 Cancelling your subscription
You can cancel your Pro subscription at any time, from your account page or via the Stripe billing portal linked there. Cancellation stops future renewals — you'll keep Pro access until the end of the billing period you've already paid for, after which your account reverts to the Free plan. We don't provide prorated refunds for the unused portion of a cancelled billing period (see section 3.3).
3.5 Failed payments
If a renewal payment fails, we may retry it, downgrade your account to the Free plan, or suspend access to Pro features until payment succeeds, and we'll try to notify you by email when this happens.
4. Acceptable use
You agree not to use the Service to:
- Submit, post, or transmit any content that is unlawful, defamatory, harassing, hateful, obscene, threatening, or otherwise offensive or objectionable;
- Violate any applicable law or the rights of any third party, including intellectual property, privacy, or publicity rights;
- Upload malware, attempt to gain unauthorised access to the Service or other users' accounts, or interfere with the Service's operation (including attempting to circumvent rate limits);
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the Service to send spam or unsolicited communications; or
- Scrape, resell, sublicense, or use the Service to build a competing product without our written permission.
We may remove content, suspend accounts, or take other action to enforce this section at our discretion, but we have no obligation to monitor content submitted through the Service.
5. User-generated content and moderation
The Service lets event organizers collect questions from their audience, and lets audiences submit and vote on those questions.
- You are solely responsible for content you submit — whether as an organizer setting up an event, or as an audience member submitting or voting on a question.
- Organizers are responsible for moderating their own events.We give organizers tools to hide or mark questions as covered, but it's the organizer's responsibility to use them appropriately, including removing offensive, inappropriate, or unlawful content submitted to their event.
- We are not responsible for, and do not endorse, any user-submitted content, including event names, speaker names, or audience questions, and we have no obligation to review it before or after it's posted.
- We may, but are not obligated to, remove content or suspend accounts that violate these Terms if we become aware of a violation.
6. Intellectual property
- Our IP: The Service, including its design, code, branding, and all associated intellectual property, belongs to asktimer or our licensors. These Terms don't grant you any rights to our trademarks, logos, or branding.
- Your content: You retain ownership of the content you submit (event data, questions, etc.). By submitting it, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, and process that content solely as needed to provide the Service to you.
7. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We don't warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements. You use the Service at your own risk.
Nothing in this section limits any statutory rights you have as a consumer that cannot lawfully be excluded.
8. Limitation of liability and no liability for misuse
To the fullest extent permitted by law:
- We are not liable for any content submitted by any user of the Service, including offensive, defamatory, or otherwise objectionable questions or messages submitted by an organizer's audience, or by any organizer's own event content — responsibility for that content rests with the person who submitted it and, in relation to moderation, the organizer running that event.
- We are not liable for any misuse of the Serviceby you or any other user, including misuse of the audience Q&A features, host controls, or any other feature.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of, or inability to use, the Service — even if we've been advised of the possibility of such damages.
- Our total aggregate liabilityarising out of or relating to these Terms or the Service, however arising, is limited to the amount you paid us in the twelve (12) months before the claim arose, or £100 if you're on the Free plan.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under English law.
9. Indemnification
You agree to indemnify and hold asktimer harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms, except to the extent caused by our own breach of these Terms or negligence.
10. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your account, with or without notice, if you breach these Terms, if we reasonably suspect fraud or misuse, or if we discontinue the Service.
- Sections that by their nature should survive termination (including sections 3.3, 6, 7, 8, 9, and 11) will continue to apply after your account is closed.
11. Governing law
These Terms are governed by the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections available to you in your country of residence.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the “Last updated” date above and, where appropriate, notify account holders by email before the changes take effect. Continued use of the Service after an update means you accept the revised Terms.
